SEBI overhauls certification rules for Specialized Investment Fund distribution

The Securities and Exchange Board of India has released Circular No. HO/24/13/17(1)2026-IMD-POD-1/I/16895/2026 dated 21 July 2026, fundamentally revising the certification framework for persons distributing Specialized Investment Funds (SIFs) under Chapter 21 of the SEBI Master Circular for Mutual Funds dated 20 March 2026.

This circular introduces a new NISM certification specifically tailored for SIF distribution and rationalises overlapping requirements, thereby simplifying the qualification path for professionals selling these products.

Background and earlier framework

Introduction of SIF regime

  1. The regulatory regime for Specialized Investment Funds was first formally laid down vide Circular No. SEBI/HO/IMD/IMD-I POD-1/P/CIR/2025/26 dated 27 February 2025.
  2. These provisions were subsequently consolidated into Chapter 21 of the SEBI Master Circular for Mutual Funds dated 20 March 2026 (MF Master Circular).
  3. Paragraph 21.10 of the MF Master Circular originally specified the mandatory certifications for any person or entity involved in the sale or distribution of SIF products.

Need for revision

Industry stakeholders raised several concerns regarding:

  • Duplication of certifications for the same personnel
  • Complexity in compliance where personnel handled both Mutual Funds and SIFs
  • Additional burden of maintaining the NISM Series XIII – Common Derivatives Certification for SIF distribution

SEBI engaged in discussions with the National Institute of Securities Markets (NISM) and, following this review, decided to overhaul the existing framework to make it more streamlined and product-specific.

New certification regime for SIF distribution

Core change – NISM Series-V-D becomes the anchor certification

SEBI has amended paragraph 21.10 of the MF Master Circular to introduce a dedicated qualification for SIF distribution. The revised framework now revolves around the “NISM Series-V-D – Mutual Fund – Specialized Investment Fund Distributors Certification”.

1. Mandatory certification for SIF distributors

Under the modified paragraph 21.10.1:

  • Any individual employed, engaged, or proposed to be employed/engaged in the sale or distribution of SIF products must hold a valid NISM Series-V-D – Mutual Fund – Specialized Investment Fund Distributors Certification.
  • This requirement covers:
    • Direct employees of Asset Management Companies (AMCs)
    • Employees or partners of distribution firms
    • Independent distributors and other intermediaries involved in SIF distribution

2. Dual eligibility – SIF and Mutual Funds

A key facilitative measure in the new framework is that:

  • Holding the NISM Series-V-D – Mutual Fund – Specialized Investment Fund Distributors Certification automatically entitles the holder to distribute both:

    • Mutual Fund products, and
    • Specialized Investment Funds
  • Importantly, such persons are not required to separately hold the NISM Series V-A – Mutual Fund Distributors Certification for Mutual Fund distribution.

Note: For multi-product distributors, NISM Series-V-D now acts as a single, unified certification, thereby avoiding duplication and reducing the compliance burden.

Entities distributing only Mutual Fund products

The relaxation described above applies only to those who intend to distribute SIFs (and, optionally, Mutual Funds). Entities or individuals who deal exclusively in Mutual Fund products are not affected by this circular in terms of certification requirements.

As clarified under revised paragraph 21.10.2:
