RBI Introduces One-Time Approval Mechanism for Qualified Institutional Investors Under Small Finance Bank Shareholding Framework

The Reserve Bank of India has revised its regulatory framework governing the acquisition and holding of shares or voting rights in small finance banks through the Reserve Bank of India (Small Finance Banks – Acquisition and Holding of Shares or Voting Rights) Amendment Directions, 2026, effective from October 1, 2026. This amendment modifies the existing Master Direction issued on November 28, 2025, by introducing a streamlined approval pathway for certain categories of institutional investors seeking to make subsequent acquisitions of major shareholding in banking companies.

Background and Regulatory Context

The foundational framework — the Reserve Bank of India (Small Finance Banks – Acquisition and Holding of Shares or Voting Rights) Directions, 2025 — was originally notified on November 28, 2025. Under that Master Direction, any entity seeking to make an initial acquisition of major shareholding in a banking company is required to obtain prior approval from the Reserve Bank of India. Furthermore, if the aggregate shareholding of such an entity falls below five percent at any point after the initial acquisition of major shareholding, a fresh prior approval becomes mandatory before any subsequent acquisition of major shareholding can be undertaken.

The 2026 Amendment Directions, issued vide RBI/2026-27/276 DOR.HOL.REC.No.236/16.13.100/2026-27 dated October 1, 2026, retain this mandatory prior approval requirement for initial acquisitions but introduce an important departure for a defined class of institutional investors — namely, mutual funds, insurance companies, and pension funds — by enabling them to seek a one-time approval for subsequent acquisitions of major shareholding.

The amendment has been issued in exercise of powers conferred by Sections 12, 12B, and 35A of the Banking Regulation Act, 1949.

Key Amendments Introduced

1. Clarification on Indirect Acquisition by Portfolio Managers

A new Explanation has been inserted under Chapter I, Section C (Definitions), para 4, after item (viii) under Definition at sub-para (2). This Explanation addresses the specific situation where a client's acquisition of shares might otherwise be deemed an indirect acquisition by its portfolio manager.

The Explanation clarifies that acquisition by a client shall not be treated as indirect acquisition by its portfolio manager, provided all three of the following conditions are simultaneously satisfied:

  • The client is the registered owner of the shares and holds the right to exercise voting rights therein;
  • The portfolio manager functions solely as an advisor to the client, offering only non-binding investment or divestment guidance; and
  • Any voting rights exercised by the portfolio manager in the banking company on behalf of the client are exercised exclusively pursuant to a specific mandate received from the client.

This clarification provides important definitional certainty in situations involving advisory arrangements and discretionary portfolio management structures.

2. Introduction of New Definitions: "Qualifying Person" and "Qualifying Person with One-Time Approval"

Two new definitions have been inserted in Chapter I, Section C (Definitions), para 4, following Definition at sub-para (6):
