Given that both entities were engaged in closely related business activities, the amalgamation was envisioned to generate meaningful operational and structural benefits.

The rationale articulated in the Scheme included the following key objectives:

  • Business Synergies: Consolidation of similar operations was expected to create synergies enabling pooling of financial, marketing, technical, and distribution resources along with optimum utilization of available assets.
  • Cost Efficiency: The merger was designed to bring about efficient cost management, operational savings, better coordination, and streamlined day-to-day functioning.
  • Corporate Simplification: Merging the two entities would simplify the existing group structure, eliminate administrative duplication, and reduce the burden of multiple legal and regulatory compliances.
  • Human Resource Optimization: A combined entity would allow for better utilization of human capital, providing access to a more diverse talent pool and improved organizational expertise.
  • Stakeholder Value: The Scheme was considered to be in the interests of shareholders, creditors, employees, and all other stakeholders, as it aimed at value maximization through a focused, single-entity business approach.

Both Boards of Directors affirmed that the proposed Scheme was not prejudicial to any class of shareholders, directors, key management personnel, creditors, lenders, employees, or other stakeholders of either company.
