ICAI Guidance Note on Financial Statements for Non-Corporate Entities: Applicability, Phased Implementation and Preparation Framework

Overview

Financial statements prepared by proprietorships and partnership firms have historically lacked uniformity — similar balances appearing under varying headings, supporting notes differing in depth and structure from one set of accounts to another. The Institute of Chartered Accountants of India (ICAI) has addressed this longstanding inconsistency through its Guidance Note on Financial Statements of Non-Corporate Entities, which introduces a structured and standardised presentation framework for such entities.

Critically, this framework does not alter the fundamental requirement of determining the correct accounting treatment for individual transactions or assessing which Accounting Standards apply to a specific entity. What it does change is how financial information is organised, classified, and disclosed.

This article walks through the key aspects of the Guidance Note — its applicability, how it differs from Schedule III of the Companies Act, 2013, and what a sound preparation process looks like in practice.

Is the ICAI Guidance Note the Same as Schedule III?

A common point of confusion in professional practice is whether the ICAI Guidance Note simply mirrors Schedule III to the Companies Act, 2013. The answer is clearly no.

Schedule III to the Companies Act, 2013 establishes presentation requirements exclusively for companies covered under the relevant provisions of that legislation. The ICAI Guidance Note, by contrast, addresses non-corporate entities — specifically proprietorships and partnership firms — under a separate and independent framework.

The term "Schedule III-style financial statements" is sometimes used informally in practice to describe a structured Balance Sheet, Statement of Profit and Loss, and accompanying notes. This informal usage should not be interpreted to mean that Schedule III itself extends its application to every proprietorship or partnership firm. Each entity must be evaluated on the basis of the applicable Guidance Note, the relevant Accounting Standards, and any entity-specific requirements.

Important Note: ICAI has issued a separate Guidance Note specifically for Limited Liability Partnerships (LLPs). An LLP must therefore be assessed under that dedicated guidance rather than the Guidance Note applicable to other non-corporate entities.

When Does the Guidance Note Apply? — Phased Implementation

ICAI formally announced the phased applicability of this Guidance Note on 31 March 2026. The rollout is structured in two distinct phases:

Phase Accounting Periods Beginning On or After Entities Covered
Phase I 1 April 2025 Entities whose turnover exceeds ₹5 crore
Phase II 1 April 2026 All entities covered by the respective Guidance Note

Key Points on Applicability

  • Applicability is determined by the commencement of the accounting period, not merely by the date on which financial statements happen to be prepared or filed.
  • For FY 2025-26, the ₹5 crore turnover threshold under Phase I is the critical filter for determining whether an entity falls within the immediate scope of the framework.
  • From accounting periods beginning on or after 1 April 2026, Phase II brings all covered entities within the framework's ambit, irrespective of turnover.
