Comprehensive Analysis of ITAT Jaipur Ruling on Section 12AB Registration, CSR Agreements, and Director Remuneration

The landscape of charitable registrations and exemptions under the Income Tax Act 1961 has undergone significant transformations, particularly concerning the transition from provisional to regular registration. A recent judicial pronouncement by the Income Tax Appellate Tribunal (ITAT), Jaipur, in the case of Mgidei Foundation Vs ITO, provides critical insights into the procedural and substantive evaluation of charitable entities.

This detailed summary explores the tribunal's stance on the condonation of delays in filing registration applications, the characterization of Corporate Social Responsibility (CSR) implementation agreements, and the legal boundaries of remunerating directors of charitable organizations.

The matter revolves around Mgidei Foundation, an entity incorporated as a non-profit organization under Section 8 of the Companies Act 2013. The assessee initiated its compliance journey by securing provisional registration under sub-clause (vi) of clause (ac) of Section 12A(1) and provisional approval under clause (iv) of the first proviso to Section 80G(5) of the Income Tax Act 1961. Both provisional certificates were granted on 01/09/2023.

Following the grant of provisional status, the assessee officially commenced its charitable activities on 01/11/2023. Under the statutory framework, a newly commenced entity holding provisional registration is mandated to apply for regular registration in Form 10AB. The statutory deadline dictates that this application must be submitted within six months from the date of commencement of activities or at least six months prior to the expiration of the provisional registration, whichever date arrives earlier.

Based on the commencement date of 01/11/2023, the deadline for the assessee to file Form 10AB was 30/04/2024. However, the assessee submitted the required applications for regular registration and approval on 30/09/2025.

Upon reviewing the delayed applications, the Commissioner of Income Tax (Exemptions) [CIT(E)] issued a show-cause notice on 06/01/2026 and subsequently passed rejection orders on 09/02/2026. The CIT(E) not only dismissed the applications for regular registration but also cancelled the existing provisional registration and approval.
